Kyle Schumacher

Kyle’s first area of practice after being admitted to the bar was Bankruptcy. He quickly identified that his clients could be better served by assisting with creditor matters before, during, and after bankruptcy. The goal in bankruptcy is to assist clients with getting a fresh start financially. Kyle wanted to extend his help beyond the standard by continuing to assist clients while they reach financial stability. Because of this, he assists clients even after they receive a bankruptcy discharge by removing the barriers that exist when one starts from the beginning.

Josh Lane

Josh formerly practiced as an oil and gas transactional attorney rendering title opinions, running due diligence, and advising clients on acquisitions and divestitures. After years of working on behalf of large companies, Josh found his calling in helping consumers instead. He advocates for evening the playing field against large banks, credit card companies, credit unions, and debt collectors who try to take advantage of his clients.

Ryan Campbell

Over his career, Mr. Campbell has served as both outside counsel and as in-house counsel in Texas. A lawyer with fifteen years of legal experience that crosses several industries, Mr. Campbell has both in depth experience, as well as broad exposure to a wide variety of business and commercial legal issues. His areas of focus and skill include real estate, general business, industrial and commercial, renewable energy, oil and gas, land, real estate, and technology law.

Legal Experience and Core Skills

Contract and Document Preparation: Experience with operational and commercial agreements (MSAs, NDAs, non-compete and non-solicitation agreements), transactional agreements (APAs, PSAs, LOIs), technology agreements (licenses, SaaS agreements, scoping documents), and real estate and lending documents (deeds, leases, option agreements, rights of first refusal, loan agreements, promissory notes, deeds of trust, environmental indemnity agreements, transition agreements).

Litigation and Liability Management: Ability to practically and strategically discuss risks and costs associated with litigation, coordinating between litigation teams and senior management, providing flexible and workable plans for commercial and corporate clients facing lawsuits, disputes, or engaging in new lines of high-risk business, asset protection and sheltering, and providing legal pathways for anonymity available under current law.

Insurance and Indemnity: Experience with negotiating, drafting, and analyzing complex indemnity structures, coordinating indemnities with insurance managers and professionals to secure coverage of risk across both contractually shifted liability, as well as insurance-supported products.

Start-Up Business and Deal Support: Successful track record with complex transaction closing as well as new entity formation and governance, advising on transaction structuring and liability management and mitigation, series limited liability company creation and maintenance, due diligence, estoppel certificates, and preparation of tax abatement contracts to support economic incentive or development zones in participating Texas counties.

Privilege Protected Audits and Investigations: Experience with cybersecurity, compliance, and regulatory audits performed under privilege.
